1. Introduction

Welcome to AceIt ("the Platform"), operated by AceIt Technologies LLC, a Texas limited liability company ("we," "us," "our," or "the Company"). The Platform is accessible at myaceit.com.

By accessing or using the Platform, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform. If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Services

AceIt is an education technology platform that provides the following services to students:

  • AI-powered study tools and learning resources
  • Exam preparation materials for BECE, WASSCE, and university-level assessments
  • Practice exams, past questions, and interactive quizzes
  • Essay writing assistance and research paper tools
  • Chief Examiner-style grading and feedback
  • Grammar checking, paraphrasing, summarization, and plagiarism detection
  • AI humanizer and citation generation tools
  • AI tutoring for personalized learning
  • WhatsApp-based study assistance via our Ace bot

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice.

3. Account Registration

3.1 Eligibility

To create an account on AceIt, you must be at least 13 years of age. Users between the ages of 13 and 17 must have the consent of a parent or legal guardian to use the Platform.

3.2 Account Responsibilities

When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your password and account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials with any other person or allow multiple individuals to use a single account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent activity (including creating multiple accounts to obtain free credits), or used the Platform in a manner that could harm other users or the Company.

4. Credits and Payments

4.1 Credit System

AceIt operates on a credit-based system. Each AI tool costs a specific number of credits to use. New users receive 20 free credits upon signup. Additional credits can be purchased through the Platform in various credit packs. Credit pricing is displayed on the Platform and is subject to change with reasonable notice.

4.2 Payment Methods

We accept payments through the following methods:

  • Mobile Money (MTN MoMo, AirtelTigo Money, Vodafone Cash)
  • Debit and credit cards (Visa, Mastercard)

All payments are processed through our third-party payment provider. By making a payment, you also agree to the terms of the applicable payment provider.

4.3 Refund Policy

Due to the digital nature of our services, all payments are generally non-refundable once credits have been added to your account. However, we may consider refund requests on a case-by-case basis if:

  • You were charged in error due to a technical issue
  • You did not receive the credits you paid for
  • You request a refund within 48 hours of purchase and have not used any of the purchased credits

4.4 Referral Program

AceIt offers a referral program where users can earn bonus credits by referring friends. The referral bonus is subject to limits and may be modified or discontinued at any time. Creating multiple accounts to exploit the referral program is prohibited and may result in account suspension.

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable local, national, or international law or regulation
  • Upload, share, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Platform, servers, or networks connected to the Platform
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, or any systems or networks connected to the Platform
  • Use automated scripts, bots, or scrapers to access the Platform or collect data
  • Reproduce, distribute, or resell any content from the Platform without our express written permission
  • Use the Platform's AI tools to generate content for the purpose of academic dishonesty or plagiarism
  • Share your account credentials or access with others
  • Create multiple accounts to exploit free signup credits or the referral program

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending accounts, and reporting violations to law enforcement authorities.

6. Intellectual Property

6.1 Our Content

All content on the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof — is the property of AceIt Technologies LLC or its content suppliers and is protected by applicable intellectual property laws.

The AceIt name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of AceIt Technologies LLC. You may not use such marks without our prior written permission.

6.2 User-Generated Content

When you submit, upload, or create content on the Platform (such as essays, notes, or responses), you retain ownership of your original content. However, by submitting content to the Platform, you grant AceIt Technologies LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of operating and improving the Platform.

6.3 AI-Generated Content

Content generated by the Platform's AI tools is provided for educational purposes only. While we strive for accuracy, we do not guarantee that AI-generated content is error-free, complete, or suitable for any particular purpose. You are responsible for reviewing and verifying any AI-generated content before use.

7. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected
  • The Platform will meet your specific requirements or expectations

Your use of the Platform is at your sole risk.

8. Limitation of Liability

To the maximum extent permitted by applicable law, AceIt Technologies LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your access to or use of the Platform.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AceIt Technologies LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any rights of any third party
  • Any content you submit or transmit through the Platform

10. Third-Party Services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by AceIt Technologies LLC. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any such third-party content, goods, or services.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Antonio, Texas.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AceIt Technologies LLC regarding your use of the Platform and supersede all prior agreements and understandings.
